The mission of Dryad is to promote the availability of data underlying findings in the scientific literature for research and educational reuse. The vision of Dryad is a scholarly communication system in which learned societies, publishers, institutions of research and education, funding bodies and other stakeholders collaboratively sustain and promote the preservation and reuse of data underlying the scholarly literature.

Dryad is governed by a twelve member Board of Directors, elected by its Members. Members may be independent journals, societies, publishers, research and educational institutions, libraries, funders, or other organizations that support Dryad's mission.  Benefits of membership include electing the Board of Directors, a discount on service fees, a voice in in membership forums, and participation in a network for knowledge exchange among diverse stakeholder groups. The annual membership dues are $1000 USD for organizations with budgets less than USD$10 million/year, and $5000 USD for organizations with budgets above USD$10 million/year.

Prior to incorporation, from 2009 to early 2012, the Dryad Consortium operated under an [[Media:Governance for dec meeting.pdf|Interim Governance Agreement]].
From 2009 to early 2012, the Dryad Board operated under an [[Media:Governance_for_dec_meeting.pdf|Interim Governance Agreement]]. This agreement specified that the Dryad Board have one appointed representative from each Partner Journal, and each Partner Journal has one vote in matters brought to the board. The full board elected an executive committee of five representatives, including the project director, who served ''ex officio''.  The executive committee was authorized to make most decisions on behalf of the full board, but issues regarding partner financial commitments and governance were brought to a vote before the full board.

Dryad is a 501(c)3 not-for-profit membership-based organization incorporated in North Carolina, USA.  A twelve member Board of Directors is elected by its Members.  See also Dryad's Business and Sustainability Plan.
